Dyadic International (NASDAQ: DYAI) doing business as Dyadic Applied BioSolutions, entered into definitive agreements with an institutional investor for a registered direct offering of 3,625,000 common shares and a concurrent private placement of warrants to purchase 3,625,000 common shares. The common shares are priced at $0.795 each and the warrants at $0.005 each, with the warrants carrying an exercise price of $0.84 per share. Aggregate gross proceeds are expected to be approximately $2.9 million.
The transactions are expected to close on or about Aug. 14, 2026, subject to customary closing conditions. Dyadic intends to use the net proceeds, together with existing cash, cash equivalents, restricted cash and investment-grade securities, for working capital and general corporate purposes. Aegis Capital Corp. is serving as exclusive placement agent for the offerings.
